CFTC RULE 4.41 – HYPOTHETICAL PERFORMANCE DISCLOSURE

Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not been executed, the results may have under-or-over compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. Your Responsibility

Alert Source Risks

Nyria relies on third-party alert sources (TradingView, Discord, Telegram, etc.) that may experience delays, outages, or deliver inaccurate signals. You are solely responsible for:

  • Ensuring your TradingView strategies do not "repaint" (show different historical signals than fired in real-time)
  • Testing alert reliability extensively before live trading
  • Monitoring for alert delivery issues or delays
  • Understanding the limitations of your signal source
  • Verifying that alerts fire as expected in real-time conditions

Signal sources referenced in our documentation are independent third parties. We are not affiliated with or endorsed by them, nor do we endorse them.

Not a "Set and Forget" System

Automated trading requires active monitoring. Things can and will go wrong. You must:

  • Check your positions at least daily
  • Monitor for reauthorization notifications from your broker
  • Verify that trades executed as expected
  • Be prepared to intervene manually when issues occur
  • Review logs regularly for warnings or errors

No Guarantees

We make no representations or warranties about the accuracy, completeness, or suitability of any information provided through our platform. Trading results can vary significantly and losses can exceed your initial investment.

Automation Risks

Automated trading systems carry additional risks including technical failures, connectivity issues, delayed executions, and software errors. Specific risks include:

  • Execution delays: 200ms to several seconds from alert to order
  • Alert source delays: TradingView considers 25-45 second delays normal
  • No order retry: Failed orders are NOT automatically retried
  • Partial fills: Spread legs may not fill completely
  • Position tracking: Manual broker trades can desync Nyria's tracking

Broker Responsibility

Nyria is not responsible for broker-level issues including order rejections, execution delays, margin calls, or account restrictions. You are responsible for ensuring your broker account is properly funded and eligible for the types of trades executed through our platform.

Market Risks

Markets can be volatile and unpredictable. Prices can move rapidly against your positions. Liquidity conditions may affect execution quality. Extended hours trading may have lower liquidity and higher volatility. Gap risk can result in executions significantly different from expected prices.

Options Risk Disclosure

Options trading involves significant risk and is not appropriate for all investors. Before trading options, you should read the Options Clearing Corporation's "Characteristics and Risks of Standardized Options" (the "OCC Risk Disclosure") available at theocc.com or from your broker.

Key options risks include:

  • Total Loss: Buyers of options can lose their entire investment (premium paid)
  • Unlimited Loss: Writers (sellers) of uncovered options face potentially unlimited losses
  • Time Decay: Options lose value over time (theta decay)
  • Complexity: Multi-leg strategies have complex risk profiles
  • Assignment Risk: Short options may be assigned at any time
  • Spread Execution: Legs may not fill simultaneously, creating unintended exposure
  • Early Exercise: American-style options can be exercised before expiration

Futures Risk Disclosure

Futures trading involves substantial risk of loss and is not suitable for all investors. The high degree of leverage in futures trading can work against you as well as for you.

Key futures risks include:

  • Leverage Risk: Losses can exceed your initial deposit (margin)
  • Margin Calls: You may be required to deposit additional funds on short notice
  • Liquidation: Positions may be liquidated if you cannot meet margin requirements
  • Gap Risk: Prices can gap significantly, especially overnight
  • Contract Specifications: You must understand contract size, tick value, and expiration
  • Roll Risk: Rolling positions may involve additional costs and execution risk

Cryptocurrency Risk Disclosure

Cryptocurrency trading is extremely volatile and speculative. Cryptocurrencies are not legal tender, are not backed by any government, and accounts and value balances are not subject to FDIC, SIPC, or any government insurance protections.

Key cryptocurrency risks include:

  • Extreme Volatility: Prices can change 10%+ in minutes
  • 24/7 Markets: Markets never close, requiring constant monitoring
  • No Insurance: Unlike bank deposits or brokerage accounts, crypto is not insured
  • Regulatory Uncertainty: Laws and regulations are evolving and may change
  • Exchange Risk: Exchanges may be hacked, go bankrupt, or freeze withdrawals
  • Technology Risk: Smart contracts, protocols, and wallets may have vulnerabilities
  • Liquidity Risk: Some tokens may have very low liquidity

Regulatory Compliance

You are responsible for ensuring your trading activities comply with all applicable laws and regulations in your jurisdiction. Tax treatment of trading gains varies by location and you should consult with tax professionals. Pattern Day Trader (PDT) rules apply to US accounts under $25,000.

Limitation of Liability

To the maximum extent permitted by law, Nyria and its operators shall not be liable for any trading losses, missed opportunities, system failures, broker issues, market events, or user configuration errors. Our total aggregate liability is limited to the fees you paid to Nyria in the three months preceding any claim.

Broker and API Integration Risks

When you connect your brokerage account to Nyria, additional risks apply:

  • Authorization Expiry: OAuth tokens may expire requiring reauthorization
  • API Changes: Broker API changes may cause unexpected behavior
  • Rate Limits: Broker rate limits may prevent order execution
  • Broker Outages: Broker system outages are outside our control
  • Credential Security: You are responsible for keeping credentials secure

Your broker does not warrant or guarantee that Nyria will work as advertised or expected. Nyria is an independent third party and is not affiliated with, endorsed by, or supervised by any broker.

User Acknowledgment

By using the Nyria platform, you acknowledge and agree that:

  • You have read and understand this Risk Disclosure, our Terms of Service, and our Privacy Policy
  • You understand that trading is risky and you can lose money, including your entire investment
  • You are solely responsible for your trading decisions and any resulting profits or losses
  • You will not trade with money you cannot afford to lose
  • You understand Nyria provides automation tools only, not investment advice
  • You are responsible for monitoring your automated strategies and intervening when necessary
  • You have consulted with qualified financial and tax professionals as appropriate
